Terms of Service
Please read these terms carefully before placing orders for custom garment hardware, molds, or stock accessories.
Last Updated: October 24, 2023
Key Highlights
1. General Provisions
These Terms of Service ("Terms") govern the sale and manufacture of garment hardware accessories (including but not limited to buttons, zippers, eyelets, buckles, and metal labels) by KAWE ("Supplier", "we", "us") to the purchasing entity ("Client", "you"). By submitting a purchase order or paying a deposit, you agree to be bound by these Terms.
2. Customization & Molds
2.1 Design Files: The Client is responsible for providing accurate vector files (AI, PDF, CDR) or physical samples for reproduction. KAWE is not liable for errors resulting from incorrect files provided by the Client.
2.2 Mold Fees: Custom hardware often requires the creation of specific molds. Mold fees are non-refundable once the tooling process has commenced.
2.3 Mold Ownership: Unless a specific "Mold Buyout Fee" is paid, physical molds remain the property of KAWE to ensure quality maintenance. We guarantee that your custom molds will strictly be used for your orders only and will not be used for other clients. Molds are kept in active storage for 24 months from the last order date.
2.4 Sample Approval: For all OEM/ODM orders, we will produce a pre-production sample. Mass production will only commence upon the Client's written or digital approval of this sample.
3. Orders & Payment
- Minimum Order Quantity (MOQ): While we support low MOQs for startups, specific MOQs depend on the material and process (e.g., die-casting vs. stamping). Surcharges may apply for orders below the standard MOQ.
- Payment Terms: A deposit of 30% is required to initiate mold making or production. The remaining 70% balance, plus shipping costs, is due prior to shipment.
- Currency: All prices are quoted in USD unless otherwise agreed.
- Cancellations: Orders cannot be cancelled once raw materials have been purchased or molds have been cut.
4. Production & Quality
4.1 Color & Plating: Metal plating (e.g., Gold, Gunmetal, Antique Brass) involves chemical processes. Slight tonal variations may occur between different batches or between the sample and mass production. These are considered acceptable within industry standards.
4.2 Material Compliance: Our standard products comply with general export standards. If your market requires specific certifications (e.g., OEKO-TEX, Lead-Free, Nickel-Free), this requirement must be stated explicitly at the inquiry stage.
4.3 Defect Rate: Due to the nature of mass manufacturing, a defect rate of up to 2% is considered normal. We typically include extra pieces in every shipment to cover this margin.
5. Shipping & Delivery
5.1 Incoterms: Unless otherwise specified, terms are Ex Works (EXW) factory. The Client is responsible for shipping costs, insurance, and import duties/taxes in the destination country.
5.2 Delays: Production lead times are estimates. KAWE is not liable for delays caused by "Force Majeure" events, including customs inspections, shipping carrier delays, natural disasters, or raw material shortages.
6. Intellectual Property
The Client warrants that they hold the necessary rights to any logos, trademarks, or designs submitted to KAWE for production. The Client agrees to indemnify and hold KAWE harmless against any claims of intellectual property infringement arising from the production of goods according to the Client's specifications.
